据普氏能源资讯12月12日东京报道,日本第2大炼油企业日本出光兴产株式会社和日本第4大炼油企业日本昭和壳牌公司周三在东京宣布,两家公司已经获得了国内外所有监管机构对其计划合并的批准,这为在明年4月成为一个具有日加工110万桶原油能力的炼油企业铺平了道路。
根据这个合并计划,昭和壳牌公司将通过股份交换成为出光兴产株式会社麾下的全资子公司。根据计划,昭和壳牌公司每股普通股将分配0.41股出光兴产株式会社普通股。
一旦合并完成,出光兴产株式会社在日本的7个炼油厂届时将拥有总计109万桶/天的炼油产能,其中包括由富士石油公司(Fuji Oil)运营的14.3万桶/天的袖浦炼油厂,昭和壳牌公司持有这个炼油的厂6.57%股份。

Japan's Idemitsu, Showa Shell get all regulatory approvals for Apr 2019 merger
Japan's Idemitsu Kosan and Showa Shell said Wednesday that the companies have secured all regulatory approvals from the domestic and foreign authorities for their planned merger, paving the way to become a 1.1 million b/d refiner in April 2019.
Under the plan, Showa Shell will become a wholly-owned subsidiary of Idemitsu Kosan through a share exchange, under which 0.41 shares of Idemitsu Kosan common stock will be allocated for every once integrated, Idemitsu Kosan will have a combined 1.09 million b/d refining capacity across seven refineries in Japan, including the 143,000 b/d Sodegaura refinery operated by Fuji Oil, in which Showa Shell has a 6.57% stake.
